As a selling agent you will look to market properties in the most attractive manner to buyers. One way to reduce the cost to buyers (not for the seller) is to minimise the amount of Stamp Duty Land Tax (SDLT) payable on the transaction. Provided the rules are followed, the scheme of paying separately for fixtures and fittings is an effective way to reduce the amount of SDLT.

It therefore often falls to selling agents to propose that the parties enter into an overage agreement which gives the seller an extra payment at some time in the future based on an increase in the value of the property, usually connected with its development.
